Web Development Terms and Agreement

These are the terms of our agreement together:
  1. Purpose and Authorization
    The Client is engaging Mina Web Designs, for the purpose of developing and/or improving a website to be installed on the Client’s web space on a web hosting service’s server with WordPress as its content management system. The Client authorizes the web hosting service to provide Mina Web Designs with “write permission” for the Client’s web space whereas applicable.
  2. Website Content
    If applicable, The Client agrees to provide Mina Web Designs ALL content for the website such as text, images, video and sound in an electronic format. The Client understands that Mina Web Designs may choose not to begin to customize the website until all content is received. If for any reason The Client needs Mina Web Designs to provide any content, it will be billed on a separate agreed rate between The Client and Mina Web Designs.
  3. Designated Client Representative
    To ensure effective communication and an efficient design process between the Client and Mina Web Designs, the Client agrees to designate a single representative to work directly with Mina Web Designs. The representative will ensure ALL content has reached final approval within their organization before submitting the finalized content to Mina Web Designs.
  4. Web Hosting
    Mina Web Designs will work with the Client to ensure the correct hosting features are installed on the hosting server. It is clear to The Client that if they opted to use a different web hosting provider, Mina Web Designs cannot guarantee the speed, security, and stability of their website.
  5. Website Maintenance
    If the client opted not to add Website Maintenance as part of the service, The Client understands that after three (3) months from the date that the website is completed and installed to the Client’s webspace, the Client takes on the responsibility of maintaining all aspects of the site. Such as text, images, video, sound files, security, and website-related updates. If for any reason the Client requested for Mina Web Designs to make any changes to the website, it will be billed at a separate agreed rate between the Client and Mina Web Designs.
  6. Legal Stuff
    Mina Web Designs does not warrant that the functions contained in the website will be uninterrupted or error-free. In no event will Mina Web Designs be liable to the Client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or website. If any provision of this agreement shall be unlawful, void, or for any reason is unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
  7. Copyright to Webpages
    Mina Web Designs through an agreement has been provided the use of third-party website templates and plugins. The templates and plugins may be used by Mina Web Designs to build a website for the Client. These templates and plugins are owned by the 3rd party provider and the Client agrees they may not put them on any portable media devices for the purpose of redistribution or resale.
  8. Copyrights and Trademarks
    The Client represents to Mina Web Designs and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Mina Web Designs for inclusion in web pages are owned by the Client, or that the Client has permissions from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Mina Web Designs and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.
  9. Usage and Editing of Premium Royalty-Free Images
    If The Client opted for Mina Web Designs to provide images for their website, The Client understands that Mina Web Designs includes the use and editing of premium royalty-free images up to a certain number only. The Client understands that exceeding images or photo editing tasks outside the agreed package will result in an additional cost to the project.
  10. Project abandonment
    If after repeated attempts to begin, continue or finalize the delivery of services, the Client fails to participate, or becomes otherwise unresponsive to Mina Web Designs requests for a period of one (1) month, the project may be considered abandoned, and Mina Web Designs may reduce any refund the Client may otherwise be entitled to hereunder to zero, and the Client will have forfeited all rights to receive any refund for services purchased online or as described in the original Order Form.
  11. Payment and Cancellation
    The Client is required to pay 50% of the project’s total cost. At the completion of the site, Mina Web Designs will provide the Client with a final billing of the actual cost for the site. Payment must be received in full before the website is published to the Client’s webspace.
